Affiliate Terms of Service

1. Program Overview

The AnswerHQ Affiliate Program ("the Program") allows you ("Affiliate," "you") to earn commissions by referring new businesses to AnswerHQ's AI-powered phone answering service. By participating in the Program, you agree to these Affiliate Terms of Service ("Affiliate Terms").

The Program is operated by 2317959 Ontario Inc., doing business as AnswerHQ. These Affiliate Terms are in addition to our general Terms of Service, which also apply to your use of our platform.

2. Commission Structure

As an AnswerHQ affiliate, you earn commissions as follows:

• Commissions are calculated based on the plan price at the time of the referred customer's first payment.
• If a referred customer upgrades or downgrades their plan before their first payment, the commission is based on the plan they actually pay for.
• Refunded or charged-back payments void the associated commission.

3. Minimum Payout

Commissions must reach a minimum of $50.00 USD before a payout is issued. Accumulated commissions below this threshold will carry forward until the minimum is met.

• Payouts are processed monthly for affiliates who have met the minimum threshold.
• Payment is made via the method agreed upon at the time of enrollment (e.g., bank transfer, PayPal).
• You are responsible for any taxes owed on affiliate commissions in your jurisdiction.

4. Attribution Window

Referrals are tracked using a 90-day attribution window. This means:

• When someone clicks your referral link, a tracking cookie is set that lasts 90 days.
• If that person signs up for AnswerHQ within 90 days of clicking your link, the referral is credited to you.
• If the person clears their cookies or uses a different device, the attribution may be lost.
• If a prospect clicks multiple affiliate links, the last click within the 90-day window receives credit.

5. Disclosure Requirements

As an affiliate, you are legally required to disclose your relationship with AnswerHQ whenever you promote our service. This is required by the U.S. Federal Trade Commission (FTC), the Canadian Competition Bureau, and similar authorities worldwide.

Your disclosure must be:

• Clear and conspicuous -- easily noticeable, not buried in fine print
• Close to the claim -- near your recommendation or link, not on a separate page
• In plain language -- understandable to your audience

6. Prohibited Activities

As an AnswerHQ affiliate, you agree not to:

• Spam: Send unsolicited emails, messages, or communications promoting AnswerHQ
• False claims: Make exaggerated, misleading, or unsubstantiated claims about AnswerHQ's capabilities, pricing, or performance
• Brand bidding: Bid on "AnswerHQ," "Answer HQ," or variations thereof in paid search advertising (Google Ads, Bing Ads, etc.)
• Impersonation: Represent yourself as an AnswerHQ employee, partner, or official representative
• Misleading endorsements: Create fake reviews, testimonials, or case studies
• Cookie stuffing: Use hidden iframes, forced clicks, or other techniques to artificially set tracking cookies
• Self-referrals: Refer yourself or accounts you own or control
• Incentivized signups: Offer cash, discounts, or gifts to people in exchange for signing up through your link (unless pre-approved in writing)
• Illegal activity: Promote AnswerHQ in any way that violates applicable laws or regulations

7. Termination

Either party may terminate the affiliate relationship at any time, for any reason.

• Termination by you: You may leave the Program at any time. Earned commissions above the minimum payout threshold will be paid out on the next regular payout cycle.
• Termination by AnswerHQ: We may terminate your participation immediately if you violate these Affiliate Terms or engage in any prohibited activity.
• Forfeiture: If we terminate your account for a violation, any pending (unpaid) commissions are forfeited.
• Program changes: We reserve the right to modify commission rates, payout terms, or program rules with 30 days' notice. Continued participation after changes take effect constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Program is provided "as is" without warranties of any kind, express or implied.
• AnswerHQ is not liable for any lost commissions due to tracking failures, technical issues, or cookie deletion by the referred user.
• Our total liability to you for any claims arising from the Program shall not exceed the total commissions paid to you in the 3 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
• You are solely responsible for your own promotional activities and any legal consequences arising from them.

9. Governing Law

These Affiliate Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Affiliate Terms shall be resolved in the courts of Ontario, Canada.
